De’Longhi Increases Stake in La Marzocco and Eversys up to 88% – CoffeeTalk
De’Longhi Group has successfully acquired an additional 26.46% stake in its professional coffee division, which encompasses La Marzocco and Eversys, for €662.5 million, elevating its ownership from 61.56% to 88.02%. This transaction, finalized on October 16, 2026, involved the complete acquisition of shares held by DLI Limited, while existing minority shareholders retain the remaining 11.98%.
For the 12 months ending June 30, 2026, the professional division reported a revenue of €569 million, reflecting a substantial 38% increase, with an adjusted EBITDA of €172 million, representing a margin of 30.2%. The division’s growth prospects led to its valuation at an enterprise value of €2.36 billion and an equity value of €2.5 billion. Since the strategic combination of La Marzocco and Eversys announced in December 2023, the division’s revenues surged beyond 50%, and its adjusted EBITDA has doubled, with its equity valuation jumping from €1.28 billion at the end of 2023.
CEO Fabio de’Longhi noted that this strategic investment not only bolsters the division’s performance, projecting revenues to exceed €600 million by the end of 2026, but also enhances De’Longhi’s market leadership in the professional coffee segment, thereby positioning it as a vital growth engine for the group. Moreover, increasing the group’s stake is expected to elevate the professional division’s net profit contribution, simplify ownership structures, and solidify its market stance.
The acquisition was financed through De’Longhi’s available cash reserves and specific debt facilities, with the group reporting a positive net financial position of €687 million as of June 30, 2026. The minority shareholders maintain their rights, including the option to initiate an initial public offering (IPO) for the professional division starting in March 2028, or pursue a demerger through share distribution beginning in March 2029.
Given that DLI Limited is a related party, this acquisition was classified as a significant related-party transaction and received unanimous approval from De’Longhi’s board following a favorable assessment from the Independent Directors Committee, with CEO Fabio de’Longhi and Vice-Chairman Silvia de’Longhi abstaining from the vote.
